1. Acceptance of Terms

By clicking “I Accept”, creating an account, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. These Terms apply to all users, including Mentors, Mentees, and company account administrators.

2. Description of Services

OhHello provides an AI-enhanced mentorship platform connecting individuals and teams with vetted experts for real-time, 1:1 mentorship sessions. Features may include:

  • Mentor discovery and booking

  • Session credits and scheduling

  • AI-assisted matching and recommendations

  • Meeting Prep Notes and session summaries

  • Sentiment analysis and analytics

  • Mentor feedback tools

  • Scheduling automation and reminders

OhHello does not provide legal, financial, HR, tax, or investment advice. All guidance comes from individual Mentors, not OhHello. No guarantees are made regarding results or outcomes.

3. Eligibility

You must be 18 years or older and capable of entering a binding contract. By using the Services, you represent and warrant that you meet these requirements.

4. Account Registration and Security

You agree to:

  • Provide accurate and complete registration information

  • Maintain the confidentiality of your login credentials

  • Be responsible for all activity under your account

Notify us at hi@ohhello.ai if you suspect unauthorized access. OhHello is not liable for losses resulting from compromised accounts.

5. Payments, Credits, and Mentor Payouts

a. Session Credits

Mentees purchase session credits via Stripe and use them to schedule mentorship sessions. Credits may expire as described at purchase. Credits are non-refundable unless required by law or stated otherwise.

b. Mentor Compensation

Mentors are paid per completed session through Stripe Connect, net of any fees or commissions. Stripe onboarding is required to receive payouts.

c. Pricing Changes

OhHello may modify pricing, fees, or billing methods with notice. Continued use constitutes acceptance of such changes.

6. Professional Conduct and Non-Solicitation

a. Non-Solicitation (12 Months)

You agree not to directly or indirectly solicit, hire, contract, or recruit:

  • Any Mentor

  • Any Mentee

  • Any OhHello client or their employees

for 12 months after your last use of the platform, unless you receive written permission from OhHello.

b. Confidentiality

You must keep session discussions, prep notes, summaries, and all shared information confidential.

c. Proper Use

You may not use the platform to:

  • Recruit talent

  • Conduct marketing or sales outreach

  • Collect competitive intelligence

  • Record sessions without consent

7. AI Features and Data Use

OhHello uses AI to enhance your experience, including:

  • Mentor matching

  • Prep Notes generation

  • Session summarization

  • Sentiment insights

  • Recommendation improvements

AI is assistive, not authoritative. AI output does not replace professional judgment.
Data may be anonymized or aggregated to improve platform performance.
You may not use OhHello data to train competing models or build competing products.

8. Intellectual Property

All platform content—including software, UI, text, images, logos, and AI models—is owned by OhHello or our licensors.

You may not reproduce, modify, distribute, reverse engineer, or create derivative works except for limited personal, non-commercial use.

9. Prohibited Uses

Users may not:

  • Violate any applicable law or regulation

  • Impersonate another person or entity

  • Upload malware or attempt to hack the platform

  • Scrape, harvest, or mine data

  • Circumvent fees, credit systems, or platform logic

  • Interfere with the normal operation of the Services

10. Termination

OhHello may suspend or terminate accounts for violations of these Terms or conduct harmful to the platform or community.

You may close your account at any time.
Fees and credits are typically non-refundable unless otherwise stated.

Upon termination, your right to use the Services ends immediately.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.

OHHELLO MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the fullest extent permitted by law:

  • OhHello is not liable for indirect, incidental, consequential, special, or punitive damages

  • OhHello’s total liability is limited to the greater of:

    • The amount you paid in the prior 12 months, or

    • $100 USD

These limits apply regardless of legal theory.

13. Indemnification

You agree to indemnify and hold harmless OhHello and its affiliates from any claims or losses arising from:

  • Your use or misuse of the Services

  • Your violation of these Terms

  • Your interactions with other users

  • Any breach of confidentiality or non-solicitation obligations

14. Privacy and Data Protection

Your use of the Services is governed by the OhHello Privacy Policy, which describes:

  • What data we collect

  • How we use and store data

  • How AI interacts with session content

  • How calendar integrations and communications work

  • What sub-processors we use, including AWS, Stripe, SendGrid, Twilio, and Zoom SDK

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware.
All disputes shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
You consent to this jurisdiction and venue.

16. Waiver and Severability

No failure to enforce any provision constitutes a waiver.
If any part of these Terms is found invalid, the remaining provisions remain in effect.

17. Updates to These Terms

We may modify these Terms periodically. Updated versions become effective upon posting or notification. Continued use of the Services indicates acceptance of the updated Terms.

18. Communications, Notifications, and Newsletter Opt-In

a. Operational and Transactional Communications

You consent to receive essential platform communications, including:

  • Session confirmations and reminders

  • Scheduling notifications

  • Credit usage and expiration alerts

  • Platform updates and system messages

  • Post-session follow-up requests

These communications are necessary for the functioning of the Service and cannot be disabled.

b. Newsletter and Marketing Communications (Opt-In)

You may choose to receive:

  • OhHello newsletters

  • Mentor and mentee community updates

  • Product and feature announcements

  • Event invitations

  • Educational content and spotlights

  • Promotions or offers

You may opt out at any time via your account settings or the “unsubscribe” link.

c. Push Notifications, SMS, and In-App Messages

If enabled, you consent to receive notifications related to:

  • Scheduling

  • Session reminders

  • Engagement and community updates

You may disable these through your device or account settings. Carrier charges may apply.

d. Communications Between Users

Messages exchanged on the platform may be stored or processed to:

  • Facilitate scheduling

  • Support session preparation

  • Improve recommendations

  • Maintain safety and compliance

e. Third-Party Communication Providers

You acknowledge that OhHello uses third-party providers (e.g., SendGrid, Twilio, AWS) to deliver communications.
